PARTICIPATION CONSTITUTES ENTRANT’S FULL AND UNCONDITIONAL AGREEMENT TO AND ACCEPTANCE OF THE OFFICIAL SWEEPSTAKES RULES, WHICH ARE FINAL AND BINDING. WINNING A PRIZE IS CONTINGENT UPON COMPLYING WITH THE OFFICIAL SWEEPSTAKES RULES AND FULFILLING ALL CONTINGENCIES TO WIN, WHICH ARE FULLY DESCRIBED HEREIN.

WINNER WILL BE REQUIRED TO RESPOND TO WINNER NOTIFICATION AND OTHER COMMUNICATIONS FROM SPONSOR (DEFINED BELOW) ACCORDING TO THESE OFFICIAL RULES.

BY ENTERING, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, WHICH ARE LEGALLY BINDING. READ THEM CAREFULLY, BEFORE ENTERING.

1. Eligibility: “Duracell Soccer Sweepstakes” (the “Sweepstakes”) is open to legal residents of the fifty (50) United States or the District of Columbia (“DC”) who are at least 18 years of age (or have reached the age of majority in their state or area of jurisdiction) at the time of entry. Sponsor’s employees, employees’ immediate family members (spouse, parents, siblings, and children), household members of each (whether related, or not), and Sponsor’s subsidiaries and affiliates, advertising and promotion agencies, and individuals engaged in the development, production or distribution of materials for this Sweepstakes, are ineligible to participate. Void Outside the US and void where taxed or prohibited.


2. Sponsor: Duracell U.S. Operations, Inc. 14 Research Drive, Berkshire Corporate Park, Bethel, CT 06801.


3. Promotion Description/Promotion Period: The Sweepstakes is an “enter for a chance to win” Sweepstakes conducted via promotional website entry which can accessed by visiting the promotional website online, or via a QR Code scan as described herein. The Sweepstakes begins on July 1, 2024 at 12: 00: 01 AM Eastern Time (“ET”), and ends September 30, 2024 at 7: 59: 59 PM (ET) (the “Promotion Period”). During the Promotion Period, eligible Participants may enter for a chance to win the Grand Prize. Eligible Entries submitted outside of the Promotion Period will be void.


4. How to Enter: Limit one (1) entry per person, per phone number, per email address, or per address/per household, during the Promotion Period, regardless of means of entry. Entries received that are over the stated limit restrictions will be void. All entries will become Sponsor’s property. Sponsor is not responsible for lost, late, stolen, misdirected, or incomplete Sweepstakes entries. There are three (3) ways to enter the Sweepstakes; Promotional Website Entry Method, the QR Code Scan Entry Method and the Mail-In Entry Method.
   
   
   1. Promotional Website Entry Method: Eligible Participants may enter by visiting the Promotional Website by following links provided on select social media pages or by following links provided on online advertisements during the Promotion Period. After following the links to the Promotional Website, the Participant must then complete the registration information and they must also upload a purchase receipt from a participating retailer verifying a purchase of a Duracell product during the Promotion Period as directed to enter the Sweepstakes. The purchase receipt must clearly identify the participating retailer, the Duracell product purchased and the purchase date. A random drawing will award the Grand Prize.
   
   
   2. QR Code Scan Method: Eligible participants may enter via cellular phone by scanning the QR Code displayed on in-store displays in participating retail locations or on online advertisements. Upon scanning the QR code, a link will be provided to the Participant which connects to the Promotional Website. The Participant must then complete the registration information and they must also upload a purchase receipt from a participating retailer verifying a purchase of a Duracell product during the Promotion Period as directed to enter the Sweepstakes. The purchase receipt must clearly identify the participating retailer, the Duracell product purchased and the purchase date. A random drawing will award the Grand Prize. More on QR Code Entry: You must be a wireless service subscriber to enter via this method. Participation in this Sweepstakes via QR Code method may not be available through all wireless carriers and on all devices. QR Code scanning feature may require download of an application to enable. Please note that your cellular service provider may charge you standard text messaging charges for each text message you send and receive on your cellular phone in connection with this Sweepstakes. Please consult your cellular service provider regarding their pricing plans. Check your phone capabilities for specific instructions.
   
   
   3. Mail-In Entry Method: Eligible Participants may enter by legibly hand-print your name, complete mailing address including zip code, phone number, date of birth, and email address (if available), on a 3” x 5” piece of paper, insert the paper into a stamped #10 envelope and mail it to “Duracell Soccer Sweepstakes Entry” PO Box 11508, Bozeman, MT 59719-1508, postmarked by September 30, 2024 and received by October 7, 2024. A random drawing will award the Grand Prize.
      


5. Random Sweepstakes Drawing / Prize / Approximate Retail Values (“ARV”) / Odds: Game Prize Drawing: : On or about October 8, 2024, a random Sweepstakes drawing will be conducted by an independent sweepstakes administrator from among all valid, eligible entries received during the Promotion Period to award the available prizes. All decisions of Sponsor and/or administrator shall be final and binding in all respects. Odds of winning depends upon the total number of eligible entries received during the Promotion Period. NOTE: Sponsor reserves the right to substitute prize elements based on prize availability or for any other reason. One (1) Grand Prize Package: Trip for up to four (4) persons to attend an Inter Miami CF Home Game Match on October 19, 2024. Grand Prize trip must be taken on specific dates authorized by Sponsor or prize will be forfeited in its entirety. Grand Prize package consists exclusively of: roundtrip (“R/T”) coach air transportation for Grand Prize winner and three (3) travel companions between major gateway airport nearest winner’s residence and Miami, FL; ground transportation to/from the game venue and to/from hotel from airport; 2-nights hotel accommodations (two rooms, double occupancy), four (4) tickets to the Inter Miami CF home game match in Miami, FL on October 19, 2024 where the winner and travel companions will receive a VIP Experience consisting of a pre-match warm-up experience and a post-match photo experience. Approximate retail value of the Inter Miami Prize Package is: $7,500. Three (3) Second Prizes: Autographed Framed Replica Jersey. Each Second Prize consists exclusively of one (1) autographed replica Inter Miami jersey in a display frame. Approximate retail value of each second prize is $600. Player autograph(s) depend upon player availability; there is no guarantee that any specific Inter Miami player will autograph any specific Autographed Jersey prize. Twenty (20) Third Prizes: Non-Autographed Authentic Jersey. Each Third Prize consists exclusively of one (1) non-autographed Inter Miami authentic Jersey. Approximate retail value of each Third Prize is $189. Approximate retail value of all available prizes is $13,080. Grand Prize Package winner and Second Prize winners will receive a 1099 tax form for the ARV of the prize.
   
   The Grand Prize Package winner’s travel companions must be eighteen (18) years of age or older, or if any travel companion is considered a minor in his/her legal jurisdiction of residency, the winner must be such companion's parent or legal guardian. The Grand Prize winner and his or her travel companions must travel together on the same itinerary and possess all required travel documents prior to awarding of prize. Air transportation tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. Sponsor reserves the right to structure the travel routes and select hotels in its sole discretion. ARV for the Grand Prize may vary depending upon point of departure and destination and fare fluctuations. If the closest airport to prize winner’s home is in close enough proximity to Miami, FL so that, as Sponsor may determine in its sole discretion, a flight is unnecessary, such prize winner will receive alternate ground transportation from the Sponsor with no further obligation to the winner. Grand Prize winner will not receive cash or any other form of compensation if actual travel costs are less than the Grand Prize ARV in these Official Rules. In the event any scheduled Grand Prize event and/or any other component of the prize is cancelled, delayed, or postponed for any reason outside the control of the Sponsor, Sponsor will have no further obligation, other than to award the remainder of the prize. In the event Grand Prize winner and/or his or her travel companions engages in behavior that (as determined by Sponsor in its sole and absolute discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip or other applicable experience early, in whole or in part, and send Grand Prize winner and/or his or her travel companions home with no further compensation. Second Prizes and Third Prizes will be shipped to the prize winners via delivery-confirmed mail or package service by Sponsor’s representative. Once Sponsor’s representative receives delivery confirmation from the mail or package delivery service, the prizes is considered awarded.


6. Potential Winner Notification: The potential prize winners will be notified by email and/or phone call within ten (10) days of the random drawing. The Potential Grand Prize winner and the Second Prize winners will be required to sign an Affidavit of Eligibility/Release of Liability/Publicity and Advertising Consent and Release (except where prohibited by law) and such other documents reasonably required by Sponsor as part of the prize claim process. All such documents must be signed and returned within five (5) days of notification or prize will be forfeited and an alternate winner may be selected as provided for in these Official Rules. The Grand Prize winner’s travel companions (if under 18, their parent or legal guardian) will be required to complete, execute and return a Travel Companion Liability Release within this same five (5) day deadline. Grand Prize winner is subject to verification before any prize will be awarded. In the event that any prize winner is disqualified for any reason, an alternate winner will be selected in a random drawing from all eligible entries received during the Sweepstakes Period. If, despite reasonable efforts, any potential winner does not respond within forty-eight (48) hours of the first notification attempt, such potential winner will forfeit his or her prize and an alternate winner may be selected. Sponsor, in its sole discretion, will attempt to contact up to three (3) potential winners of the available prizes in accordance with the above procedure, after which the prize in question may go unawarded if it remains unclaimed. Return of any prize notification or prize mailing as undeliverable for any reason will result in disqualification


7. Conditions of Participation & Certain Restrictions: The Participant is solely responsible for entering the Sweepstakes during the Promotion Period, as well as properly claiming the prize. Income taxes on any prize are the sole responsibility of the winner. No cash equivalents, prize substitutions or transfer of prize permitted except that Sponsor reserves the right to substitute a prize of equal or greater value in the event that an offered prize is unavailable. Acceptance of prize constitutes permission to the Sponsor to use winner's name and city/state of residence for purposes of advertising and promotion without additional compensation, unless prohibited by law. All entries become the property of Sponsor and will not be acknowledged or returned. By entering, entrants acknowledge compliance with these Official Rules, including all eligibility requirements. By participating, Participants agree to release Duracell U.S. Operations, Inc., Inter Miami CF, LLC, Major League Soccer, LLC, and each of their respective affiliates, divisions, retailers or distributors or advertising and promotion agencies and each of their respective owners, members, officers, directors, employees, agents or representatives (collectively, “Released Parties”) from and against any and all claims, demands, losses and liabilities of any nature whatsoever, which entrant may now or hereafter be entitled to assert, including but not limited to, any death, injury, loss of enjoyment, damage to computer equipment, or other harm or loss of any nature whatsoever caused or contributed to by participation in the Sweepstakes, and/or in connection with the awarding, receipt and use or misuse of the Sweepstakes prize, and/or claims based on publicity rights, defamation or invasion of privacy. Winner acknowledges that neither Sponsor nor its agents have made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize, including, but not limited to, its quality, mechanical condition or fitness for a particular purpose. Any and all warranties and/or guarantees on a prize, if any, are subject to the manufacturers’ terms therefore and winners agree to look solely to such manufacturers for any such warranty and/or guarantee. By participating in this Sweepstakes, Participants agree to be bound by the Official Rules and the decisions of the Sponsor, which are final and binding in all respects. Sponsor is not responsible for any typographical or other error in the printing of the offer or in administration of the Sweepstakes.
   
   Released Parties are not responsible for lost, late, or illegible entries nor for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes and to award the available prizes via a random drawing from among all valid eligible entries received up to the point of the action taken by the Sponsor provided a sufficient number of entries have been received. Caution: Any attempt by any person to deliberately damage any website or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws and should such an attempt be made, Released Parties reserve the right to seek damages from any such person to the fullest extent of the law.


8. GOVERNING LAW/DISPUTES: VVOID WHERE PROHIBITED OR RESTRICTED BY LAW. All federal, state, and local laws and regulations apply. By participating in the Sweepstakes, participants agree to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all respects. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules or the rights and obligations of participants, Sponsor, or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of Connecticut without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws.
   
   BY PARTICIPATING IN THE SWEEPSTAKES, PARTICIPANT AGREES THAT, EXCEPT WHERE PROHIBITED BY LAW: (i) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, WILL BE RESOLVED INDIVIDUALLY(WITHOUT RESORT TO ANY FORM OF CLASS ACTION) BY BINDING ARBITRATION. THE COMMERCIAL ARBITRATION RULES AND MEDIATION PROCEDURES OF THE AMERICAN ARBITRATION ASSOCIATION SHALL GOVERN SUCH PROCEEDING;(ii) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (iii) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, LOST PROFITS, AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (iv) PARTICIPANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

10. Winner's List: To receive name and city / state of residence of winners of prizes valued over $25, mail a stamped, self-addressed envelope to “Duracell Soccer Sweepstakes Winner’s List,” PO Box 11508, Bozeman, MT 59719-1508. All requests must be received by December 31, 2024. 31, 2024.
